Terms of Service
These Terms of Service ("Terms") govern your use of the website at nextretail.ai and the software, mobile app and related services (the "Services") provided by Next Retail AI LLC ("Next Retail AI," "we," "us"). By using the Services you agree to these Terms. If your organization has a signed agreement with us, that agreement governs where it conflicts with these Terms.
1. The Services
Next Retail AI provides planogram development, in-store reset, remodel and new item execution, delivered by retail experts working with our AI software, and the software and mobile app that support that work. We may update or improve the Services over time.
Where we perform planogram development or in-store execution services for your organization, the scope, schedule, fees and responsibilities for that work are set out in a separate signed agreement or statement of work, which governs where it conflicts with these Terms.
2. Accounts
You must provide accurate information and keep your sign-in credentials and one-time passcodes confidential. You are responsible for activity under your account. Tell us promptly at security@nextretail.ai if you suspect unauthorized use.
3. Your data
You and your organization keep ownership of the data and content you submit, including photos. You grant us the rights needed to host, process and display that data to provide and improve the Services. Our handling of personal information is described in our Privacy Policy.
4. Acceptable use
You will not misuse the Services, including by attempting to access them without authorization, interfering with their operation, uploading unlawful content, or reverse engineering them except where the law allows.
5. SMS program
- Program name: Next Retail AI
- Message types: one-time passcodes for sign-in and verification, and account notifications such as task assignments and service alerts. No marketing messages.
- Opt-in: you agree to receive these messages when you provide your mobile number during sign-up or when your organization adds it to your account and you sign in. Consent is not a condition of any purchase.
- Frequency: message frequency varies based on your account activity.
- Rates: message and data rates may apply.
- Opt-out: reply STOP to any message to stop receiving messages. Opting out of passcodes may prevent sign-in by text.
- Help: reply HELP to any message or email hello@nextretail.ai.
- Carriers are not liable for delayed or undelivered messages.
- See our Privacy Policy for how we handle mobile information. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes.
6. Intellectual property
The Services, including the software, design and content we provide, belong to Next Retail AI LLC and its licensors. These Terms do not transfer any of those rights to you, except the limited right to use the Services as permitted here.
7. Fees
Fees for paid Services are set out in your order form or agreement with us.
8. Confidentiality
Each party will protect the other's non-public information it receives through the Services with reasonable care and use it only to perform under these Terms.
9. Disclaimers
Except as stated in a signed agreement, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI-generated outputs, such as compliance scores and recommendations, may contain errors and should be reviewed by people before you rely on them.
10. Limitation of liability
To the extent permitted by law, Next Retail AI LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Our total liability for any claim relating to the Services is limited to the amounts you paid us for the Services in the 12 months before the claim.
11. Termination
You may stop using the Services at any time. We may suspend or end access if you breach these Terms or if required by law. Sections that by their nature should survive will survive termination.
12. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules, unless your agreement with us says otherwise.
13. Changes
We may update these Terms. We will post the updated version here and change the effective date above. Continued use after changes take effect means you accept them.
